  • Brexit, MiFIR and MiFID II: Third-country Firms Providing Cross-Border
           Investment Services – An Overview of the Relevant Organisational and
           Business Conduct Requirements
    • Abstract: Due to Brexit, large international banking groups have been restructuring their businesses with European clients since regulated institutions based in the UK will no longer be able to use the European Passport. While many firms have established new hubs in the EU 27, there are others which are considering providing services on a cross-border basis to European clients directly from the USA, Switzerland and other third countries, including the UK. This article addresses the question as to whether third-country firms are allowed to provide investment services in Germany without a license and whether German organisational and business conduct rules would apply.

  • Bail-in: Do Italians Do It Better (or Worse, or Not at All)'
    • Abstract: The bank insolvency, hinged upon the new resolutions tools, particularly the bail-in, with its controversial right, bestowed upon an administrative authority, to covert/ write off/reduce the creditor’s rights should the bank fail, has played havoc in some EU jurisdictions, such as Italy. In this country, where the banking system has been put under intense pressure in the last five years, the application of the new rules has been sui generis, in some cases with an apparent misapplication of the new legal framework. Additionally, the existence of some constitutional values in the Belpaese, where the savings are expressly protected, may suggest that the judicial authorities, particularly the Italian Constitutional Court, may in the future decide to be more courageous in the way some fundamental legal provisions should be interpreted in their relationship with the new framework.

  • Single-Limb Collective Action Clauses and the European Stability Mechanism
           Reform
    • Abstract: In December 2019, the Euro Summit did not approve the amendments to the ESM Treaty because of a disagreement among Member States on debt restructuring as a requirement for stability support in the case of unsustainable debt and questionable capacity of repayment. In this context, a key role is played by single-limb CACs which permit restructuring across all the bond series. On the one hand, this facilitates the restructuring process and neutralize the blocking action of vulture funds under single series. On the other hand, this poses some problems in relation to the protection of minor bondholders. The solution to these problems may come from inserting a sort of exemption clause in the model CACs that the EU Economic and Financial Committee is mandated to draft. This scenario is now exacerbated by the social and economic effects of the Covid-19 pandemic crisis that have caused a generalised increase in sovereign indebtedness and may imply debt restructuring.

  • Origins, Evolution and Comparison of Moral Rights between Civil and Common
           Law Systems
    • Abstract: The protection of moral rights embraces the now widespread personal sphere of copyright and originated much later than the economic exploitation of the work itself. Some of its components can be found in the English and German thought between the 17th and 18th centuries and, starting from the early 19th century, would have a substantial development through the contribution of both the French legal scholarship and case law. The legal foundations, in any case, date back to some codifications of the German area and to the earliest international treaties, making it a discipline that did not take into consideration the extent of the national territory. The purpose of this study is to evaluate the relevance of the European models and their influence in Italy after the national Unification, in particular in the first decades of the 1900s. In fact, the international protection of moral rights takes root in Italy during the 1928 Rome Conference for the revision of the 1886 Berne Convention. The United States joined it only later, in 1989, with the Berne Convention Implementation Act (BCIA). Thirty years later, the Copyright Office published in April 2019 an extensive study about the American protection of moral rights. The document is studied in this paper in comparison with the European Directives and with the Copyright Directive definitively approved a few days before the Copyright Office document. While in the USA the interest in moral rights up to now rather limited seems to be increasing, in Europe the protection of moral rights risks being waned as it is handed down to individual countries with the explicit declaration that it is not the subject matter of the Directives.

  • The Relevance of Apologies in Non-pecuniary Damages: Between Remedies and
           Incentives
    • Abstract: Legal systems and their sources have significantly evolved during globalization, bringing out new ways of conceiving regulation and remedies. We can recall several examples in which certain social phenomena are treated beyond a pure ‘command and control’ approach.Think about the growing impact of self-regulation in several areas, the increasing relevance of corporate codes of conduct, the use of reputational sanctions in social networks, the emergence of public apologies in tort law.  In the latter example, we may focus on many legal implications such as the opportunity to provide a safe harbour legislation in order to facilitate the settlement of disputes, the acknowledgment of mitigating effects on non-material damages, the idea of judge-ordered apologies. According to Law and Economics thought, apologies can be deemed to fall within the category of “merit goods”. They allow people to reach the difficult goal of nonmaterial compensation giving voice to personal feelings without having to translate them into money. The article shows how behavioral incentives and mediation proceedings might be more appropriate than authoritative measures in order to gain benefits from apologies.Volume 32

  • A Decade after the Global Financial Crisis: New Regulatory Challenges to
           Financial Stability
    • Abstract: Since the global financial crisis in 2008 regulatory measures have been taken to strengthen the international financial sector. There are however regulatory challenges that have the potential to destabilise the international financial sector. This article examines three of these challenges: Fintech, Brexit, and Emerging Markets Economies. There is currently no significant analysis of these issues in relation to their effect on global financial stability. This article addresses this gap and analyses why these issues form a threat to financial stability. Fintech is modest but growing exponentially and there is little regulation in place, Brexit is characterised by prolonged uncertainty and potentially significant negative effects on the economy, and Emerging Markets Economies now occupy a far larger part of the international financial sector than in 2008 and their potential effects on global financial stability are also significantly stronger. The analysis leads to the conclusion that the common threat emerging from these challenges is policy uncertainty which leads to increased wariness from investors, which in turn leads to sudden changes in capital flows. This can potentially affect international financial stability. To mitigate these effects a more internationally harmonised approach to policy and regulation is key.

  • After the GDPR: Cybersecurity is the Elephant in the Artificial
           Intelligence Room
    • Abstract: This article presents an analysis of data protection authorities’ (DPAs) enforcement actions undertaken since the implementation of the General Data Protection Regulation (GDPR) in May 2018. The analysis shows that corporations fail to adopt transparent data processing practices and appropriate technical and organisational measures to secure personal data. By focusing on two specific DPAs, the Spanish AEPD and the British ICO, we make practical suggestions on how to foster the healthy development of the European digital ecosystem and the deployment of trustworthy artificial intelligence in big data environments in the face of growing cybersecurity risks.
