  • Severance payments: main effects and determinants on the labour market

      Abstract: Abstract This article presents a survey of the recent empirical literature analysing both the effects and determinants of severance pay on the labour market. Redundancy payments have an effect notably on the aggregate employment level, workers’ job satisfaction, risk-taking and mobility, the nature of the labour contracts (i.e. open-ended or short-term contracts), and the reasons for dismissal (i.e. economic layoff or redundancy for misconduct), while their main determinants are related to union coverage and membership, the aggregate unemployment rate, fiscal policy, judges’ behaviour and some workers’ individual characteristics (e.g. gender, tenure). Insofar as this literature provides a better understanding of the incentives produced by legal rules related to layoffs, it is clear that its conclusions may have implications for policy-making, which we try to illustrate in this article.

  • Dismissal regulation and hiring and dismissal decisions: a decisive
           factor' the case of the French labor market reforms

      Abstract: Abstract Following the example of other European countries in recent years, two major reforms of dismissal regulation were implemented in France in 2016 and 2017. The aim of this article is to assess, from a microeconomic perspective, the effects of these reforms on the hiring and dismissal decisions of French firms. Does making dismissals easier increase dismissals and stimulate hiring' We also ask what is the role of this institutional factor in firms' decisions relative to two other factors: the strategies used by firms in their use of the law and in the management of their workforce; as well as the aggregate effects or the business climate. To this end, we constructed an original database that follows a panel of firms between 2016 and 2019. To take into account the great heterogeneity of employment management practices across firm sizes, this database is then divided into 4 bases—from very, very small firms (fewer than 5 employees) to large firms (50 employees or more). Based on the estimation of several fixed-effects models, we show that the reforms may have played a role in employment decisions, but only in hiring, and especially for small firms (less than 10 employees). However, for these small firms, hiring decisions are also, if not more, driven by employee departures in a human resource management logic. Large firms however are less affected. Finally, aggregate effects reflecting the macroeconomic business climate largely explain the trend in hiring and dismissals over the period, except in the case of large firms, where changes in individual practices may have had a temporary effect on these trends without changing the overall trend.

  • Independent legal directors’ attitudes toward bank CEO stock option
           awards

      Abstract: Abstract This study examines whether independent legal directors have more conservative attitudes toward bank CEO stock option awards compared to other independent directors. We find that the proportion of legal directors among independent directors is negatively associated with CEO stock option awards as a proportion of both total CEO compensation and total CEO stock-based compensation. Moreover, the negative effect of independent legal directorship on stock option awards is moderated by CEO ownership. Our findings indicate that independent legal directors are less willing to compensate bank CEOs with stock option awards than independent non-legal directors. However, their reluctance toward stock option awards is alleviated when bank CEOs are vulnerable to experiencing a greater wealth loss from risk-taking. Overall, we document that independent legal directors intend to constrain excessive bank risk-taking through restricting CEO stock option awards. It is worth exploring effective oversight mechanisms for bank boards to constrain risk-taking, and this study extends this research stream by revealing a specific channel that can facilitate independent directors to play an important role in overseeing bank risk-taking.

  • To comply, or not to comply: the question is why

      Abstract: Abstract In this large-scale empirical study, we examine drivers of compliance with the first filing requirement for the Ultimate Beneficial Owners (UBO) register in Belgium, which results from the implementation of the 4th EU Anti-Money Laundering Directive. Our focus on nonprofit organizations (NPOs) is inspired by their strong objection against the UBO regulation and their lower UBO compliance compared to for-profits in Belgium. We show that UBO compliance is significantly improved by the introduction of an administrative monetary fine, and is positively related to reliance on donations and grants, capacity of the organization, and NPO age. Our study implies a meaningful contribution to the scarce literature on nonprofit compliance.

  • Polycentric systems for spectrum management: the case of Indigenous and
           tribal spectrum sovereignty

      Abstract: Abstract We extend the law and economics analysis of spectrum management by considering the economic case for Indigenous and tribal spectrum sovereignty. We use case studies from the United States, Guatemala, Canada, and New Zealand to show that these movements seek a polycentric system of spectrum management that contrasts with the prevailing monocentric systems of spectrum management in which national governments have the primary authority over spectrum governance. Theories of polycentricity and federalism offer insight into the efficiency of Indigenous and tribal spectrum sovereignty as well as polycentric spectrum sovereignty more generally.

  • Clawback enforcement, executive pay, and accounting manipulation

      Abstract: Abstract Clawback provisions entitle shareholders to recover previously-awarded compensation from managers involved in accounting manipulation or misconduct. In a principal-agent model, we show that strong clawback enforcement tilts managerial compensation towards the short-term but may increase manipulation. In contrast, weak enforcement alleviates the shareholders’ incentives to tilt compensation towards the short-term and reduces manipulation. While weak enforcement and lack of commitment may generate a time inconsistency problem, the clawback adoption decision may foster further governance changes that elicit ex post enforcement. We discuss the regulatory implications of the theory and its consistency with results in empirical studies.

  • The impact of law on moral and social norms: evidence from facemask fines
           in the UK

      Abstract: Abstract We measure the extent that a prevailing law can affect moral and social norms. We use variations in facemask fines in the UK during the COVID-19 pandemic as a case study, as it presents us with many features of a natural experiment. Our analysis provides two important findings. First, we find that the legal status of a behaviour, that is whether the behaviour is illegal or not, is important in influencing stated compliance and moral and social norms. In contrast we find no evidence that a variation in penalties has any effect on stated compliance or moral or social norms. We consider these results are important for law makers and society, as both moral and social norms are known to be important drivers of social change, and our results show that legality influences both—thus highlighting an endogenous relationship between the law—and moral and social norms.

  • Environmental laws in France: What are the effects of the Grenelle laws on
           firms'

      Abstract: Abstract The aim of this paper is to analyze the effects of Grenelle I and Grenelle II laws on financial performance, social performance, and risk-taking in France. The study is focussed on SBF120 (The SBF120 index consists of the 120 largest capitalizations listed on the French Stock Exchange market (SBF: Société des Bourses Françaises)) firms between 2005 and 2016. It provides the following results: first, it shows that after the introduction of the Grenelle I and II laws, financial performance decreased while corporate risk increased, particularly in low polluting industries. One explanation for this is that Grenelle laws are based on the comply or explain principle which may lead to adaptative and interpretative disclosure strategies. In addition, environmental regulations may involve high costs of compliance. In the short-term, environmental disclosure regulations do not drive businesses to improve their social performance: they have not been able to undertake socially and environmentally responsible projects based on good governance practices. Using the Environmental Policy Stringency EPS index to measure the stringency of environmental policy, we show that international binding laws such as the Paris Agreement, unlike locally binding Grenelle laws, are able to enhance the overall social performance through the environmental, social and governance channels. In the long-term, Grenelle laws show effective results on the environmental performance and the quality of governance which enhance the overall social performance without impairing the financial one. Finally, quantile regression analysis provides evidence that businesses are likely to increase their environmental performance at the expense of low financial and overall social performances.

  • Data portability and interoperability: An E.U.-U.S. comparison

      Abstract: Abstract Data portability (the ability to transfer data without affecting its content) and interoperability (the ability to integrate two or more datasets) significantly affect the use of data, with important implications for antitrust policy. Allowing for improved data portability can facilitate interoperability, which, in turn, will enable consumers to switch services, thereby substantially increasing competition. However, barriers to data portability and interoperability can increase market power and be a major source of social inefficiency. This paper lays out the pros and cons of a move towards requirements of data interoperability and portability and contrasts the move in the U.S. and in the EU.

  • Data portability and competition: Can data portability increase both
           consumer surplus and profits'

      Abstract: Abstract We study how data portability affects consumer surplus and firms’ profits in a two-period model with a switching cost where two firms compete under a non-negative pricing constraint. The firms can circumvent the constraint by tying another complementary free service (called ”freebies”) with the original service. We consider a general framework of incomplete pass-through of freebies into consumer benefit, which includes the two extreme cases of no pass-through and full pass-through as special cases. Regarding the effect on consumer surplus, data portability involves a trade-off between intensifying competition after consumer lock-in and reducing rent dissipation before consumer lock-in. We find that for an intermediate range of pass-through rates, data portability increases both consumer surplus and profits.

  • The anti-steering provision of Article 5 (4) of the DMA: a law and
           economics assessment on the business model of gatekeepers and business
           users

      Abstract: Abstract Data is a success factor for digital platforms and the core of their business model. The rationale behind this is that data allows for improving the matching process between users which creates value for the platform. Since some large platforms act as gatekeepers, the Digital Markets Act (DMA) was introduced in Oct. 2022 to ensure a fairer business environment. This paper analyzes the consequences of the 4th obligation of Art. 5 of the DMA. Using a simple game theory model, we analyze the changes in incentives for different business models implied by the obligation. In fact, the obligation increases the incentives for the business users to use the platform because new customers can be acquired. The incentives for establishing an independent web shop also increase. Furthermore, more data is available, both for the platform and the business users. However, the platform is likely to benefit more from the increase in data collection and is incentivized to become vertically integrated. Finally, the fees imposed by the platform may increase.

  • Postbellum electoral politics in California and the genesis of the Chinese
           exclusion act of 1882

      Abstract: Abstract Why did the United States move from having nearly open borders from the 1840s to the 1870s to passing the Chinese Exclusion Act in 1882, the first law in American history to ban people from entering the United States solely based on race' We argue that the standard story of nativist backlash based on wage pressure explains the demand for immigration restrictions, but not their timing or their racial focus. The demand for immigration restrictions was largely inchoate until the political restructuring that followed the Civil War. Finding themselves uncompetitive in much of the country, the Democrats seized on immigration restrictions, most notably in growing California, as a wedge issue. Chinese residents were unable to vote, thus making restrictions on Chinese entry an especially effective strategy in political economy.

  • The law and economics of the data economy: introduction to the special

      Abstract: Abstract This article intends to provide a framework to better understand the economic problems and legal challenges resulting from the transition of the European economy to a data economy. We discuss some policy concerns surrounding the data economy, such as concentration in the data economy, anticompetitive business practices in the data economy, access to data and data sharing, data reliability, distributional effects of the data economy, and cybercrime. Moreover, we provide an overview of some important EU legal initiatives and reforms and clarify how the papers in this special issue contribute to assessing these initiatives from an economic point of view.

  • Harmonising cryptocurrency regulation in Europe: opportunities for
           preventing illicit transactions

      Abstract: Abstract This study focuses on the analysis of cryptocurrency regulatory developments in Europe. The aim is to review national crypto-legislation in Europe and the EU's latest initiative to create designated regulatory instruments for the crypto-economy. This study assessed whether the European Union's Regulation on Markets in Crypto-Assets (MiCA) would have the intended effect. Drawing on the results of a survey of crypto experts from five European countries, this study evaluated the effectiveness of current regulation across Europe and how it can be improved to reduce financial crimes. The findings show that a unified national legal framework for regulating transactions with crypto assets does not exist in European countries. Current crypto regulations are dictated by anti-money laundering recommendations. This study provides suggestions for improving MiCA regulation. The article offers recommendations for an international regulatory standard for crypto assets and insights for increasing efficiency in regulating DeFi, NFTs, and smart contracts.

  • Gender equality within boards: comparing quota and soft law

      Abstract: Abstract In 2011, Britain and France introduced affirmative action policies aiming at improving board gender mix in listed companies. While the reforms were similar in terms of target and timing, Britain opted for a ‘soft law’ (comply or explain) approach, while France enacted a mandatory quota. Using difference-in-differences analyses, we examine the differential impact of these two reforms on board composition and on women empowerment within boards. We first show that the quota has been associated with a more rapid adjustment of the gender mix without significant disruptive effects on board composition. However, we report that the quota has induced a more limited access of women to monitoring committees within boards, relative to soft law. As these committees are the most influential, this evidence shows that the quota came at a cost when considering within-board women’s influence.

  • How judicial efficiency impacts trade credit and doubtful receivables

      Abstract: Abstract Judicial efficiency has been widely identified as a factor that has an impact on credit markets and firms’ financial decisions. In this paper, we study the relationship between judicial efficiency and trade credit granted by firms to their customers, as well as how the judicial system influences the proportion of those credits that are deemed ‘doubtful’. We test our assumption by analysing a sample of 1526 listed, ‘non-financial’ firms located in countries in the eurozone, during the period 2011–2021. The proxies of judicial efficiency are the length of judicial proceedings and rule of law, obtained from the World Bank’s ‘Doing Business’ and the World Bank Governance Indicators (WGI) databases, respectively. The empirical findings confirm our hypotheses that efficient justice allows for increased supplier confidence when extending financing to their customers and reduces doubtful trade credit.

  • Product liability for defective AI

      Abstract: Abstract This paper studies the efficient definition of product defects for AI systems with autonomous capabilities. It argues that defining defects in product liability law is central to distributing responsibility between producers and users. The paper proposes aligning the standard for defect with the relative control over and awareness of product risk possessed by the producer and the user. AI systems disrupt the traditional balance of control and risk awareness between users and producers. The paper provides suggestions for defining AI product defects in a way that promotes an efficient allocation of liability in AI-related accidents. It assesses whether the recent EU policy proposal on product liability aligns with this approach.

  • Property rights theory, bundles of rights on IoT data, and the EU Data Act

      Abstract: Abstract With the advance of smart IoT devices (Internet of Things) the amount of valuable data will increase dramatically. With its recently enacted Data Act (DA) the EU introduces new data access and sharing rights for the users of IoT devices. This article analyzes how the DA will change the bundle of rights on non-personal IoT data regarding who can control, access, use, share, and monetize this data. In a first step, we apply the property rights theory (esp. the approach of Barzel) for explaining the status quo of IoT data governance. Here the manufacturers can get through the technical design of their IoT devices exclusive de facto control over IoT data ("capture" of data). In a second step, we analyze how the DA changes this de facto bundle of rights in order to unlock more IoT data for innovation, competition, and empowerment of users. Since the DA is not very clear and partly contradictory, three different concepts for the design of this bundle of rights are analyzed and compared: A data holder-centric IP-like concept, a user-centric concept, and the concept of co-generated data. The article analyzes all three concepts from an economic perspective including relevant market failures regarding IoT data in B2B and B2C contexts. For achieving the objectives of the DA, especially regarding unlocking of data for innovation, bundles of rights should be chosen which reject notions of exclusivity and enable broad access and sharing of IoT data. The enacted Data Act, which still clings too much to the exclusivity of data and includes too many hurdles for data sharing, cannot be expected to contribute much to achieving these objectives.

  • Industrial data sharing and data readiness: a law and economics
           perspective

      Abstract: Abstract We study the incentives and welfare properties of industrial data sharing taking into account the data (economy) readiness of companies. We differentiate between two regulatory settings. First, there is no compulsion for companies to provide data. Companies, which also use the data for other corporate purposes, decide whether to share their data voluntarily. Second, there is a regulatory requirement on the minimum amount of data to be shared by the data provider. We assume that data sharing affects the data provider’s value of the data. The magnitude and sign of this effect have an impact on the optimal investment level of data generation and overall welfare in the different cases under study. Our results suggest that the implementation of a data-sharing policy has ambiguous welfare properties. It has positive welfare properties if (a) the data receiving firm does not pay too much for the data, (b) the data receiving firm benefits enough from the data provider’s data generating effort, and (c) the intensified competition due to data sharing is not too harmful to the data provider. In contrast, it will always have negative welfare properties if the data provider’s minimum amount of data to be shared under the policy is prohibitively high such that no data is created in the first place. Our results also suggest that a positive effect of data sharing on the data-generating company’s value of the data and its data economy readiness positively affect the incentives to share data. Finally, we find that data sharing under a data-sharing policy leads to a lower data quality if the data economy readiness of the data-generating company is too low.

  • Intellectual property and fourth industrial revolution technologies: how
           the patent system is shaping the future in the data-driven economy

      Abstract: Abstract Using the classification system from the European Patent Office (EPO), we identify almost 600,000 patent applications for fourth industrial revolution technologies from 1986 to 2015. We contribute to the economic literature by seeking to answer two research questions: (1) What is the effect of legal breath (and other indicators) on the quality of innovations in the fourth industrial revolution, (2) How does the IP culture (utilitarism vs. natural law) explain these differences' We find that the legal breadth of a patent positively affects the quality of innovations in the fourth industrial revolution. Interestingly, this impact of legal breadth may be driven by historical path dependencies and ways in which the two philosophical schools (utilitarism vs. natural law) have shaped the patent system in Anglo-Saxon countries versus continental Europe.
