  • Renewables In Alberta: New Policies, New Opportunities

      Abstract: This article explores Alberta’s new climate change strategy. The authors provide an overview of the evolution of Alberta’s regulatory model, point out criticisms of the pre-Notley regime, and evaluate the impact and effects of the new strategy. The new strategy is placed in context with federal climate change measures and analyzed in conjunction with lessons that can be learned from other jurisdictions.

  • Area of Mutual Interest Agreements and Canadian Competition Law
           Considerations

      Abstract: Area of Mutual Interest Agreements (AMIAs) are a common feature within the Canadian oil and gas industry. These agreements are usually entered into for the purposes of sharing technical information between two or more parties. This article explores the implications of the various types of AMIAs in relation to the Competition Act. While there is essentially no applicable Canadian case law on the subject, this article examines the potential civil and criminal penalties that the Competition Act may impose. In addition to detailing the statutory landscape in Canada, this article looks at how this issue has unfolded in the United States.

  • Timing of Canadian Project Approvals: A Survey of Major Projects

      Abstract: This article provides a detailed canvassing of the Canadian energy project approval process, beginning with an examination of the evolution of the project approval process in Canada and the current legal framework under the Canadian Environmental Assessment Act, 2012. The article then applies the framework to numerous major energy project approvals in Canada from 2010 to present day, and provides a comparative analysis to the project approval processes in both the United States and Australia in order to find possible solutions to the issues plaguing our current system. This article identifies and discusses current, practical issues and provides recommendations for how the project approval process in Canada can become more efficient for all those involved.

  • Calculating the Incalculable: Principles for Compensating Impacts to
           Aboriginal Title

      Abstract: There continues to be significant uncertainty over the scope of Aboriginal rights in Canada, which results in significant uncertainty for infrastructure development in the energy sector. Developing a framework for determining fair and reasonable compensation for potential impacts to Aboriginal title is therefore a pressing need for governments as well as proponents. This article explores options on how to ensure greater certainty in the process of determining appropriate compensation for impacts to Aboriginal title. It conducts an analysis of the nature of Aboriginal title, the present compensation methodology for all land types, and the Australian experience with these matters. The article is intended to consider compensation for impacts to Aboriginal title, although it is recognized that impacts to Aboriginal title are not the sole challenges arising from energy infrastructure development in Canada. Also, the proposed framework does not suggest that all infringements to Aboriginal title can be justified with appropriate compensation and there may be situations where no level of payment can compensate for the impact to the community’s way of life. The article concludes there are at least three potential approaches to determine appropriate compensation for impacts to Aboriginal title, and regardless of the method chosen all will require extensive reform from the present approach.

  • Restructuring Challenges in the Oil and Gas Sector: The Treatment of
           Regulatory Orders Post-Redwater

      Abstract: Companies within the Alberta energy sector are currently unable to satisfy amounts outstanding to their creditors and at the same time fulfill their environmental responsibilities, culminating in a fight over whether provincial or federal statutes have priority when it comes to the environmental obligations of insolvent oil and gas companies. This article identifies recent legal developments relevant to corporate restructurings in the Alberta energy sector, examining the Alberta Energy Regulator’s treatment of exploration and production companies, the licensee liability rating program, and the practical challenges that Alberta Energy Regulator’s licensees and creditors face in the current economic and regulatory climate. Finally, this article analyzes options for facilitating the sale of licenced assets.

  • Sole Risk Provisions in Joint Operating Agreements for Unconventional Oil
           and Gas Development

      Abstract: This article discusses independent operations in the context of unconventional oil and gas resources. It considers how the Canadian Association of Petroleum Landmen (CAPL) and the Association of International Petroleum Negotiators (AIPN) have reacted to this. It provides a detailed analysis of the differences between the 2015 CAPL Operating Procedures and the 2014 AIPN Unconventional Resources Operating Agreement. Particular focus is given to permissible independent operations under each agreement, the timing of those independent operations, and the penalties given to a non-participating party. The article concludes by discussing the importance of drafting customized sole risk provisions in some situations, given that unconventional resource development often varies from project to project.

  • Recent Judicial Decisions of Interest to Energy Lawyers

      Abstract: This article summarizes a number of recent judicial decisions of interest to energy lawyers. The authors review and comment on the past year’s case law in several areas, including Aboriginal law, environmental law, employment law, contractual interpretation, enforcement of foreign judgments, surface rights, utility regulation, and selected developments in civil procedure. Specific topics addressed include the availability of summary judgment for operators’ claims in the face of countervailing non-operators’ claims, recent appellate case law regarding the duty to consult, and the application of the “polluter pays” principle in contaminated sites litigation.
