  • The Oil and Gas ROFR: Understanding Current ROFR Issues from the Point of
           View of the Transactional Lawyer, the Litigator, and In-House Counsel

      Abstract: Rights of first refusal and other preferential or pre-emptive rights (together, ROFRs, and individually a ROFR) routinely find their way into oil and gas industry agreements. Disputes often arise because of the complex nature and significant economic consequences of ROFRs. In recent years, a number of reported cases, either relating directly to ROFRs or more generally relating to contractual interpretation, have clarified (or at times muddied) the waters surrounding the use, application, and interpretation of ROFRs. However, most ROFR disputes never result in a reported decision because the parties typically negotiate solutions long before trial.The authors consider current trends involving ROFRs in oil and gas agreements, and how they believe the law and legal practice surrounding ROFRs might continue to evolve in the years to come. The authors do not attempt to rehash the fundamentals of the law surrounding ROFRs; instead, they focus on how the courts have dealt with ROFRs in recent cases as well as how corporate lawyers and in-house counsel grapple with ROFRs day-today. The authors utilize the ROFR provisions found in industry standard contracts to analyze outstanding areas of uncertainty as well as what lawyers should contemplate prior to including a ROFR in an agreement. Additionally, the article examines the implications of recent rulings on the duty of good faith that may affect ROFRs. Finally, the article considers selected subjects of topical interest, including ROFRs in the context of busted butterfly transactions, insolvency proceedings, and package deals.

  • The New Normal' Natural Resource Development, Civil Disobedience, and
           Injunctive Relief

      Abstract: In recent years, contentious energy and pipeline projects have been mired in Aboriginal and environmental opposition, often leading to protests that involve civil disobedience. The authors argue that civil injunctions are increasingly considered to be the most appropriate method to resolve these events. Despite the inherent tension in using a civil lawsuit to enforce a public law, the judicial debate over whether to proceed through criminal or civil avenues has trended towards private law remedies. Consequently, entities who may be subject to interruptions caused by protests should be prepared to take measures to secure a civil injunction. The authors detail the legal steps required to receive injunctive relief and address some common pitfalls in enforcing these orders. Aboriginal rights and title concerns are also addressed.

  • Managing Your Carbon Footprint: Impacts and Opportunities Arising From
           Alberta’s Climate Change Legislation

      Abstract: This article explores Alberta’s climate change policies and laws in conjunction with parallel federal climate change measures. The authors provide an overview of the existing regulatory structure applicable to industrial carbon emissions, and an evaluation of the recent evolution of the regulatory structure. The comprehensive regulatory structure as a whole is then analyzed for its practical impacts across industries, and the authors identify a number of strategies for oil and gas producers, natural gas-fired electricity generators, renewable power project developers, and public entities to manage their performance within the new Alberta governance model for climate change management.

  • When Insolvency and Restructuring Law Supercedes Contract

      Abstract: The impact of counterparty insolvency on contracts has become an area of concern for those in the energy industry. The Bankruptcy and Insolvency Act, Companies’ Creditors Arrangement Act, Alberta Business Corporations Act, and Canada Business Corporations Act; are all statutes that override or diminish strict contractual rights. This article examines six ways in which these pieces of legislation accomplish this: (1) restructuring proceedings; (2) stays of proceedings; (3) replacement and default clauses; (4) disclaimers of contracts; (5) assignment of contracts without the consent of the solvent counterparty; and (6) plans of arrangement. Public policy considerations support this legal framework, but it has a significant impact on the solvent party when trying to achieve restructuring or insolvency objectives and preserving legitimate bargains. Therefore, it is crucial for energy law practitioners to understand these policy considerations and this area of law to be able to properly advise clients of the inherent risks and options available.

  • The Alarm Bell is Sounding and the Regulator is at the Door: Emergency
           Response, Reporting, and Investigations in the Age of Heightened
           Compliance Monitoring and Enforcement

      Abstract: In light of recent disasters in the oil and gas industry, there is increasing public pressure to develop more robust processes for responding to such disasters in Canada. In this article, the authors examine the emergency response procedures currently in place, and consider how oil and gas producers, carriers, and processors can improve these procedures. The article begins by outlining the emergency response planning and incident reporting obligations incumbent on the oil and gas industry, which is followed by an overview of the regulatory inspection powers that exist to investigate real and potential environmental, workplace, and safety incidents. Finally, the article considers what responding to an actual emergency would look like, and proposes best practices for the oil and gas industry.

  • Earth, Wind, and Fire: Power Infrastructure in Alberta’s New Age

      Abstract: In the wake of dramatic policy changes commencing in late 2015, including the Government of Alberta’s announcement of the Climate Leadership Plan, the Renewable Energy Program, and the decision to introduce a parallel capacity market into Alberta’s previous energy-only market, the future of Alberta’s electricity market is uncertain. However, regulatory intervention in an attempt to improve the function of electricity markets and encourage renewable generation is not a new concept.Other jurisdictions, including the United Kingdom, Germany, and jurisdictions in the United States, have used regulatory intervention to address issues in energy markets and to drive renewable generation. Regulatory intervention in these jurisdictions has not always achieved the intended consequences. In some cases, regulatory intervention has exacerbated issues it intended to solve, or created new problems. In other cases, regulatory intervention has relatively improved the function of electricity markets and incited renewable generation. This paper considers the evolution of energy policy and competing policy drivers, including system reliability, use of sustainable fuels to generate electricity, and price surges. The paper will discuss the success and failure of regulatory intervention in select jurisdictions, and how these lessons might apply in the new age of Alberta’s electricity market.

  • Recent Judicial Decisions of Interest to Energy Lawyers

      Abstract: This article summarizes a number of recent judicial decisions of interest to energy lawyers. The authors review and comment on the past year’s case law in several areas including Aboriginal law, contractual interpretation, corporate governance and shareholder rights, employment and labour law, environmental law, utility regulation, constitutional law, and selected developments in civil procedure. Specific topics addressed include the duty to consult, plans of arrangement, the duty of good faith in contractual relations, environmental claims upon insolvency, and the constitutionality of federal climate change legislation. For each case, some background information is given, followed by a brief explanation of the facts, a summary of the decision, and some commentary on the outcome.

Topics of note include: recent climate change policy updates, renewable energy policy initiatives, oil and gas regulatory developments, pipeline project updates, and Aboriginal case law developments. The period covered is May 2016 to June 2017, inclusive.
