  • WERE THE 1982 MERGER GUIDELINES OLD NEWS'

      Abstract: This paper examines the impact of the 1982 Department of Justice Merger Guidelines on the stock market prices of publicly traded firms in the United States. We argue that those Guidelines were perceived by the market as a real change in enforcement policy that would result in substantial deregulation of mergers throughout the economy. We conduct an event study of S&P 500 firms to test this hypothesis and find evidence of a significant positive effect on the stock prices of firms in moderately concentrated industries subject to antitrust regulation, the firms for which the 1982 Guidelines articulate a substantially less intrusive enforcement policy. However, the announcement does not have any significant effect on firms in less concentrated industries or those that are highly concentrated. These results are robust to a number of different sensitivity analyses and thus we conclude that market actors believed the 1982 Guidelines contained new information.

  • DEFINING ABNORMALLY LOW TENDERS—A COMPARISON BETWEEN SWEDEN AND
           DENMARK

      Abstract: The concept of an abnormally low tender is not defined in EU public procurement law. This article takes an interdisciplinary law and economics approach to examine a dataset consisting of Swedish and Danish judgments and verdicts concerning the concept of an abnormally low tender. The purpose is to determine how the concept has developed in practice in two Scandinavian countries with similar legal traditions, and whether the national solutions are economically efficient. The data indicate that economic operators use various pricing strategies which may result in tenders being rejected as abnormally low or the awards of contracts to such tenders being contested. The pricing strategies will (over time) result in the contracting authorities paying too high a price and they are, therefore, economically inefficient. It is concluded that diverse solutions to the handling of abnormally low tenders have developed in the two countries and, notably, that the approaches differ with regard to how they treat different pricing strategies. Thus, the solutions are also different in terms of economic efficiency.

  • EU MERGER CONTROL AND BIG DATA

      Abstract: A growing number of the concentrations that are notified to the European Commission involve online companies active in the collection and processing of big data. This article analyzes how these mergers are and should be assessed under EU merger control law. The author contends that although big data mergers should be closely scrutinized, as they may give rise to significant anticompetitive effects in some cases, the current EU competition law regime provides the necessary tools for the assessment of such transactions. Section II addresses the possible anticompetitive and procompetitive effects of big data mergers. Section III argues that there is no need for substantive reforms of the EU merger control rules and that the scope of the Commission’s merger control proceedings should not extend to standalone privacy issues. Section IV concludes.

      Abstract: Did the anticompetitive conduct in question impact all or nearly all class members' This is a question central to a court’s class certification decision. To answer this question, a methodology—known as sub-regressions—is being increasingly employed, particularly by defendants’ expert witnesses. A key step of a sub-regression type analysis is to partition the data into various subgroups and then to examine data poolability. In this article, I focus on three areas of interest pertaining to sub-regressions. First, I review the related law and economics literature related to this methodology. I then analyze courts’ recent class certification decisions in cases where parties introduced sub-regression analysis. I then discuss several methodological challenges, many of which have not been previously acknowledged, and present potential ways to address these challenges. I emphasize that a disciplined and rigorous implementation is crucial for the reliability of sub-regressions.

  • THE DECISION TO INVESTIGATE MERGERS IN THE UNITED KINGDOM’S
           VOLUNTARY REGIME

      Abstract: As merging parties can choose whether to notify their transaction in the United Kingdom, the competition authority has a well-developed procedure for capturing those that are not notified but may raise concerns. The resulting own-initiative investigations account for a significant proportion of overall UK merger enforcement. This mergers intelligence function is crucial to the voluntary regime working effectively, yet relatively little is known publicly about this preliminary investigative phase. We provide an overview of how the decision to investigate is taken, including the extent of transactions reviewed at this stage, an overview of the decision-making process, and an assessment of recent reforms to the process. We go on to analyze the extent to which decisions taken (not) to investigate are appealable.

  • CONSUMER DAMAGES FOR BREACH OF ANTITRUST RULES: HOW TO REACH FULL
           COMPENSATION FOR CONSUMERS'

      Abstract: Over the years, the number of damages claims has increased. The level of compensation, however, has understated the true harm suffered by purchasers. Hence, victims of a breach of antitrust rules are not fully compensated. This is true especially for consumers because the large majority of damages cases pertain to nonconsumers claiming damages. There has been some case-by-case empirical research on consumer damages but no methodological study has been done on the calculation of consumer compensation in general. This paper aims to fill that gap. By using the example of a cartel, we consider different calculation methods. We determine the theoretical upper and lower limits for compensation. These limits can be easily applied in practice when the consumer’s income spent on a cartel good and the overcharge are known. More importantly, by using these limits, consumers are fully compensated for the harm suffered as a result of price-fixing.

  • LENIENCY, COLLUSION, CORRUPTION, AND WHISTLEBLOWING

      Abstract: Leniency policies offering immunity to the first cartel member that blows the whistle and self-reports to the antitrust authority have become the main instrument in the fight against price-fixing conspiracies around the world. In public procurement markets, however, bid-rigging schemes are often accompanied by corruption of public officials. In the absence of coordinated forms of leniency (or rewards) for unveiling corruption, a policy offering immunity from antitrust sanctions may not be sufficient to encourage wrongdoers to blow the whistle, as the leniency recipient will then be exposed to the risk of conviction for corruption. This article assesses the extent of this problem by describing and discussing the antitrust and anti-corruption provisions present in a few selected countries, under both common law and civil law regimes. For each of these countries, we try to evaluate whether the legal system presents any solution to limiting the risk that legal provisions against corruption undermine the effectiveness of leniency programs against bid rigging in public procurement. Legal harmonization, coordination, and co-operation on procedural and substantive issues, and inter- and intra-jurisdictions, seem essential to solve this problem. Given the size of public procurement markets and their propensity for cartelization, specific improvements in legislation appear necessary in all the countries considered. Explicitly introducing leniency policies for corruption, as has been done recently in Brazil and Mexico and is being experimented in the United States, is only a first step. The antitrust experience has taught us that to achieve their goals of inducing whistleblowing, these policies must be carefully designed and sufficiently generous with (only) the first reporting party, they should not be discretional, they must be backed by robust sanctions, and they must be consistently implemented. Hence, the road ahead appears a long one. To increase the effectiveness of leniency in multiple offense cases, we suggest, besides extending automatic leniency to individual criminal sanctions, the creation of a “one-stop point” enabling firms and individuals to report different crimes simultaneously and receive leniency for all of them at once if they are entitled to it. As long as individual criminal charges are not covered by a coordinated and nondiscretional leniency program, there is little hope that these provisions will induce any improvement in the fight against corrupting cartels. A more effective way to fight such cartels may then be offering Qui Tam rewards to nonaccomplice whistleblowers, as is already done with apparent success by several law enforcement agencies in the United States.
