  • International arbitration, public policy considerations, and conflicts of
           law: the perspectives of reviewing and enforcing courts

      Abstract: AbstractThis article considers the different approaches to public policy by national courts to conflicts of law in international arbitration, the possible senses of the term ‘public policy’, which or whose public policy is to be taken into account, and barriers to certainty and uniformity despite international rule-systems or substantially harmonized national legal systems as a result of the adoption of the Model Law or which are largely based on it. s used to exemplify the problems and as pointers to a way forward. It considers the nature of the discretion to refuse to enforce, and how the interests and policies of the seat of the arbitration and those of enforcing courts should be balanced in the light of the structure of the New York Convention and the choice a losing party has between active remedies in the court of the seat and passive remedies by way of a defence to enforcement proceedings. The issues are illustrated by contrasting the circumstances of the decision of the Supreme Court of the United Kingdom in Dallah Real Estate v Government of Pakistan and those in the more recent litigation in Singapore and Hong Kong between PT First Media and Astro Nusantara.

  • Raising the Curtain on English Arbitration

      Abstract: AbstractCommercial arbitrations that take place in London are automatically concealed behind a curtain of secrecy. In a world where transparency is prized as an end in itself, is this still sustainable' The authors answer ‘no’, and propose that the implied duty of confidentiality that still survives in England—but which, globally, is increasingly rare—now be brought to an end. The authors recognize that the potential for confidentiality is a virtue of the arbitral process, but believe that confidentiality should be an option, not a presumption. They further believe that this is a matter of policy that deserves to be addressed by the legislature at the time of any future amendment to the Arbitration Act of 1996.

  • State Liability for Breach of Article II.3 of the 1958 New York Convention

      Abstract: AbstractThis article examines the concept of state liability for non-compliance with the obligation to refer the parties to arbitration pursuant to Article II.3 of the 1958 New York Convention. Article II.3 of the New York Convention obligates the courts of contracting states to safeguard the party against whom legal proceedings have been initiated in violation of a valid international arbitration agreement. The author argues that when the court of a given contracting state decides not to refer the parties to arbitration, particularly, in those cases involving the application of foreign law, and in which an error of judgment has been made (ie misapplication, misinterpretation, or lack of application of the law governing the agreement to arbitrate), the injured party should be entitled to make a claim for damages against the relevant contracting state for breach of a New York Convention right, ie the right to arbitrate.

  • Is Fraud Arbitrable' Examining the Problematic Indian Discourse

      Abstract: AbstractThe Indian Supreme Court judgment in A. Ayyasamy v A. Paramasivam and Others (2016) is the latest in a series of judgments that have held that cases of ‘serious fraud’ are not arbitrable. Indian courts have long held the view that substantive issues of fraud cannot be arbitrated. This article will argue that this view, apart from being oblivious to the modern context of arbitration in India and across the world, threatens to erode the provisions of the Arbitration and Conciliation Act, 1996. This law, which sought to reduce judicial intervention in arbitration matters, contemplated a very limited scope for courts to decline reference to arbitration, and gave recognition to the principle that arbitral tribunals (and not courts) should decide the limits of their jurisdiction. This article will, on the one hand, explore the genesis of the judicial view that fraud cannot be the subject of arbitration, by studying judgments from the past century, and on the other, examine whether such a position is tenable in the statutory environment of the 1996 law.

  • The curious case of an arbitration with two annulment courts: comments on
           the YPF saga

      Abstract: AbstractThis article deals with the jurisdictional and substantive issues of a Latin American multi-party, multi-contract arbitration, related to a dispute arising out of a contract for the international sale of natural gas, which contained an arbitration agreement, calling for ICC arbitration in Montevideo. This arbitration agreement contained a clause in which the parties expressly agreed to apply Argentine arbitration law to annulment procedures and granted exclusive jurisdiction to the Argentine courts to hear any challenge to the prospective award. Eventually, there was a debate on the validity of this clause and the Argentine and Uruguayan courts claimed to have exclusive jurisdiction to hear annulment petitions. This article addresses the different approaches under which this issue can be analysed, and concludes that the parties’ choice of forum should be respected. Regarding the substantive issues, one part of the case that involved the claimant and two of the respondents was governed by the Contracts for the International Sale of Goods (CISG).11 Among other aspects, this article explains that the standard to consider an anticipatory breach is very high, so that mere manifestations that the basis of the contract has been affected are not enough to consider such kind of breach. Moreover, it explains that the intention of the breaching party is not a relevant factor to determine compensation, since the CISG is based on an objective regime, in which foreseeability is the relevant factor.

      Abstract: AbstractIn the Secretary of State for the Home Department v Raytheon Systems Ltd, Akenhead J upheld a challenge there had been serious irregularity under section 68(2)(d) of the Arbitration Act 1996 on the grounds that an arbitral award ran to over 267 pages had nonetheless failed to deal with two issues as to liability and the quantum of the claim, and substantial injustice had resulted from the tribunal’s omission to deal with such matters. The decision provides useful guidance on the rare example of a successful application under section 68 of the Arbitration Act 1996. Clearly, an application under section 68 faces a high threshold in establishing a serious irregularity, reflecting the reluctance of the courts to interfere with the conduct of arbitration. The vast majority of these applications have been unsuccessful. This case note article also is a consideration of the recognition and enforcement of arbitration awards for the common law principles in relation to the law in England and Wales as an example.

  • Arbitrability and public policy: an African perspective

      Abstract: AbstractGrowth in international trade has led to considerable expansion of the scope of matters capable of settlement by arbitration. In spite of sustained scholarly activity on arbitrability, the question of what is arbitrable remains controversial but relevant in many regions of the world, including Africa. Arbitrability has the potential to affect the validity of an arbitration agreement, strip an arbitrator of jurisdiction, or derail enforcement of an award. Given the significance of the concept, it is vital that entities involved in international transactions do not speciously extrapolate knowledge of what pertains in Europe and America across all jurisdictions and regions of the world. This study draws a comparison between arbitrability and its relationship with public policy in Europe and America on one hand, and the trend in Africa in an attempt to critically investigate the extent to which African states are willing to extend the scope of arbitrable subject matters. A number of trends on arbitrability are discernible. Most commercial disputes are arbitrable and this observation generally aligns with practice in Europe and America. Beyond this, there are three significant differences in the areas of scope of subject matter, approaches to arbitrability regulation and the role of public policy.

  • Arbitrability under the new Brazilian arbitration act: a real change'

      Abstract: AbstractSince the enactment of the 1996 Arbitration Act, the arbitrability of disputes in Brazil followed the general rule in which disputes involving disposable patrimonial rights could be submitted to arbitration. In 2015, the Brazilian legislative enacted an Act amending some of the rules of the 1996 Act. The general approach to arbitrability did not change but there was an attempt to introduce provisions to the act regarding the arbitrability of disputes concerning consumer law, labour law, corporate matters, and the participation of the state or state-owned companies in arbitration. The first two efforts failed and the last two prospered. This article explores if the changes made to arbitrability by the new Act were actually necessary in face of the existing doctrinal and jurisprudential understanding of arbitrability of disputes in Brazil. It argues that the general approach to arbitrability already addressed the innovations brought by the new statute. As a result, it asserts that the changes in the law were not a novelty as the approach to arbitrability of disputes in Brazil was already settled by the 1996 Act as well as the case law.
