  • The emergence of transnational responses to corruption in international
           arbitration

      Abstract: As the global fight against corruption continues to intensify, arbitrators play an increasingly important role in developing responses to cases raising corruption issues. The present article investigates the steady emergence of general principles, or transnational rules, which are available to and increasingly applied by arbitrators who adjudicate corruption issues. First, in light of the difficulty of deducing direct evidence of corruption, arbitrators have consistently accepted that corruption can be proven through a sufficient number of indicia, or ‘red flags’ of corruption. Second, in certain circumstances, arbitrators and courts may depart from the traditional rule that refuses to restore benefits performed under contracts tainted by corruption. Third, a number of cases have affirmed that issues of corruption are to be resolved by reference to rules of transnational public policy, rather than local mandatory rules, or lois de police, where local rules do not form part of the lex contractus. While such responses to corruption have not and need not achieve unanimous recognition in all legal systems, they have been adopted in a significant number of cases to function as general principles that can guide arbitrators dealing with corruption issues.

  • Joinder in international commercial arbitration

      Abstract: This article examines joinder in international commercial arbitration, focusing on institutional rules’ requirements for a successful joinder application. There are two common legal themes running through varying joinder mechanisms adopted by leading arbitral institutions—the consent to joinder and the protection of the right to equal participation in the appointment process. Given this, this article consists mainly of two parts. The first part presents an overview of joinder in international arbitration and discusses the consent and the equal participation right in the context of joinder. As to consent, this article discusses how consent is obtained, when it is necessary, what legal effects it carries under different circumstances, and what analytical steps should be taken to determine whether to extend the arbitration agreement to a non-signatory. As to equal participation, after noting the legal consequences resulting from any harm to this right, the article looks into how arbitral rules prevent and address equal participation issues. The second part studies the joinder mechanisms currently adopted by seven leading arbitral institutions and the UNCITRAL Arbitration Rules. After presenting an overview of the joinder mechanism under each set of the arbitral rules, it discusses how each mechanism addresses the consent and equal participation issues.

  • A return to innate arbitration culture: implications from a cost and
           efficiency perspective

      Abstract: In the past decade, one consistent criticism has been the perception of increased cost and time penalties associated with the arbitral method. The authors suggest that the root of the problem lies in a failure to view international arbitration as an outcome-based mechanism instead of a procedurally driven process. The authors challenge current methods of procedural harmonization aimed at addressing the issue, which are premised upon the existence of a universally coherent and explicit arbitration culture in practice. Instead, they argue what is required is a return to an innate arbitration culture, defined as the recognition of international arbitration as a dispute resolution mechanism fundamentally separate to and distinct from domestic litigation. To that end, the authors advocate a return to innate arbitration culture, premised upon leveraging arbitration specific values of contractual flexibility, arbitrator discretion, institutional innovation and party autonomy. Only then can the cost-efficiency issue be addressed in a uniformly consistent way and the dissonance in user experience be reconciled with the discrepancy in user results.

  • Appeal in International Arbitration—an efficient and affordable
           arbitral appeal mechanism

      Abstract: This article argues that international arbitral awards should be subject to arbitral appeals. It reviews the history of arbitration and its feature of finality of the awards. Then it critically examines the various arguments on the question of whether such awards should be subject to appeal. It argues that although the tendency of limiting the ability of a dissatisfied party to appeal to national courts is essential to international arbitration, arbitration institutions should propose arbitral appeal services. This would balance between the right of appeal, which is an element of access to justice, on the one hand, and party’s autonomy to finalize the dispute without the possibility to appeal to court, on the other hand. Therefore, the paper suggests that the arbitral appeal services should be built on an opt-out arbitration appeal mechanism. Finally, the different existing arbitral appeal mechanisms are examined and an efficient and affordable model of arbitral appeal is suggested.

  • Principles of interpretation of contracts under English law and their
           application in international arbitration

      Abstract: This article discusses the interpretation of contracts in international arbitration, looking first at the current position on the interpretation of contracts as established by the English courts. It then considers whether an international arbitration tribunal construing a contract is, in fact and/or in practice, constrained by the governing law. It will further consider the influences upon a tribunal in reaching a conclusion as to how a contract should be interpreted and the general approach taken by an international arbitral tribunal to questions of interpretation of contracts. The article concludes that parties are arguably not well-served if they cannot predict with some certainty how a tribunal will approach a particular issue but that this lack of certainty is a trade-off that parties are willing to make in opting for international arbitration.
