  • Dual nationality revisited: a modern approach to dual nationals in
           non-ICSID arbitrations

      Abstract: The authors revisit the vexed question of the standing of investors to bring a claim against one of their states of origin. Contrary to Article 25 of the Convention on the Settlement of Investment Disputes between States and Nationals of Other States (ICSID Convention), which forbids natural persons in possession of the nationality of the host state to initiate proceedings against it, the majority of other arbitration rules do not provide for such a prohibition. Consequently, unlike the realm of diplomatic protection, where the question seems settled, there is little guidance in the treaty-based field of investment arbitration on the probable scenario of a dual national suing one of its states of nationality in a non-ICSID arbitration context. Some tribunals have resorted to traditional principles to deny investment protection to dual nationals, whereas recent awards have been considerably more lenient. This article will demonstrate that, given the fundamental differences between investment treaty arbitration and diplomatic protection, the application by analogy of doctrinal formulations of the former to the latter is not warranted. Instead, a holistic interpretation in accordance with Article 31 of the Vienna Convention on the Law of Treaties should be the primary point of focus of international tribunals, taking into account the object and purpose of the treaty and comparable treaty practice.

  • Where to go: the floating arbitration agreement

      Abstract: The article examines questions concerning interpretation of commercial arbitration agreements, according to which the place of arbitration is ‘floating’ and hence cannot be finally determined at the time of contracting. The question is, primarily, whether this inherent uncertainty about material procedural rules ‘infects’ the jurisdictional allocation to such an extent that the arbitration agreement must be considered unenforceable and secondarily, whether the floating element in itself constitutes a sufficiently specific procedural rule. Against the background of an analysis of case law from USA, England, Singapore, and Hong Kong, and drawing on experiences from unilateral and bilateral option agreements, the article extracts general principles of interpretation as well as provides specific guidance on the drafting of floating arbitration agreements.

  • The Prague rules

      Abstract: The Prague Rules on the Efficient Conduct of Proceedings in International Arbitration are available to parties and arbitrators since 14 December 2018. The conception and development of this new soft law text generated one of the most vivid technical debates in recent decades in international arbitration. The Prague Rules constitute voluntary suggestions which are technically based and designed to facilitate the efficient conduct of arbitral proceedings, by way of the continual cooperation of parties and arbitrators in their development. Its recommendations are based on the strictest respect for the principle of the autonomy of the parties. The recommendations of the Prague Rules are contained in twelve articles, which can be grouped into the following aspects of procedural handling: case management; the taking of evidence; and decision.   • Islamic finance arbitration: enforceability under the New York Convention
           1958 of arbitration awards made following a reference to the Shariah

      Abstract: This article analyses the enforceability of arbitration awards, rendered following a reference to the Shariah Advisory Council of the Central Bank of Malaysia under sections 56 and 57 of the Central Bank of Malaysia Act 2009, under the New York Convention 1958 which has been adopted in 159 countries. This article employs the theoretical legal research method and has compared sections 56 and 57 against the requirements of the Convention for enforceability of awards, in particular the fundamental attributes of an arbitration. The conclusion is that such awards would not be enforceable under the Convention as they infringe Article V(1)(d) of the Convention. This would cause such awards to lose the feature of global and convenient enforceability usually attached to arbitration awards. These consequences make it less attractive, where there is an arbitration clause in the Islamic financial transaction documentation, to choose the Malaysian law as the governing law whether with regard to the substantive merits or the arbitration proceedings. This article recommends that amendments be made to sections 56 and 57 to make the reference to the Shariah Advisory Council optional rather than mandatory and its ruling advisory instead of binding, in respect of arbitration only, so that the global enforceability of such arbitration awards under the Convention is not undermined.

  • The US Supreme Court does Kompetenz-Kompetenz

      Abstract: In Henry Schein and New Prime, the US Supreme Court reached two unanimous decisions on arbitration. Both cases in quite different ways gave rise to questions about the original German doctrine or version of Kompetenz-Kompetenz, the ability of the parties to submit by agreement their jurisdictional disputes to arbitration. Each decision, though, contains so much more. In Henry Schein, the court rejected the view that the court could effectively terminate an arbitration by concluding that the right to arbitrate was clearly not there. It required a proper enquiry including an investigation as to whether the AAA Commercial Rules constitute a Kompetenz-Kompetenz agreement. The facts presented suggested a more complex enquiry than that about the arbitrator's jurisdiction and powers. In New Prime, the Court applied the exclusion from the Federal Arbitration Act for employees engaged in interstate commerce to a self-employed lorry driver. It refused to save the clause on the basis on a Kompetenz-Kompetenz agreement or an inherent jurisdiction.

  • Nori Holdings v PJSC Bank and the tale of anti-suit Injunctions

      Abstract: This article analyses the issues arising out of the recent High Court judgment of Males J in Nori Holdings Limited et al v PJSC Bank Okritie Financial Corporation [2018] EWHC 1343 (Comm). Traditionally, English Courts and practitioners have been steadily opposed to the ECJ driven prohibition of anti-suit injunctions under the Brussels I Regulation regime. The crack to this prohibition created by Advocate General Wathelet in Gazprom was accepted gloriously across the channel. Males J in his judgment, however, critically addressed this opinion and seems to side with the ECJ’s interpretation even under the Brussels I Recast Regulation. This article considers Nori Holdings in the wider context of the remedies available to a court or tribunal when faced with torpedo or parallel proceedings. Finally, it considers how the situation might change and why this case could be important in a post-Brexit world.

  • Tax treaty arbitration

      Abstract: Traditionally, tax authorities endeavour to resolve their tax treaty disputes among themselves, by amicable settlement through a mutual agreement procedure (commonly known as ‘MAP’ procedure), without involvement from any third parties—neither arbitrators nor mediators. In past years, due to globalization of countries’ economies and spread of tax treaty networks, the number of disputess, their complexity and revenue interest involved have gone up drastically, exceeding many authorities’ capacities, and resulting in MAP cases taking up increasingly more time, or remaining unresolved at all. It is generally expected that the recent OECD/G20 initiated ‘BEPS’ (short for: Base Erosion and Profit Shifting) measures against international tax avoidance will add further to this. Arbitration so far having been hardly tried in practice, the recent arbitration piece under the BEPS multilateral treaty (MLI) and EU Directive on dispute resolution in international tax matters, however, create new momentum. It is now up to tax authorities if they can accustom themselves to the use of arbitration as an ordinary, and in certain circumstances preferable tool for resolving their disputes.
