  • Laying the fourth arbitrator to rest: re-evaluating the regulation of
           arbitral secretaries

      Abstract: AbstractDespite significant efforts to improve the transparency of international arbitration, the spectre of arbitral secretaries as the ‘fourth arbitrator’ still haunts the arbitral process. Efforts to clarify and codify the role of arbitral secretaries have failed to assuage the perception that, at least on occasion, arbitral secretaries may exceed the appropriate limits of their responsibilities. This can only be harmful to the legitimacy of the arbitral process. Against the backdrop of the rise of transparency in international arbitration, this article sets out to re-evaluate the role of arbitral secretaries in modern international arbitration. Having first considered the efforts that have already been made to address the perceived problem of the fourth arbitrator, the article draws on two cases studies—the well-known Yukos cases and the lesser-known, long-running boundary dispute between Guyana and Venezuela—to highlight both the importance of transparency as it applies to arbitral secretaries, and the importance of its limits. In the light of those cases, the article proposes certain measures that may, finally, allow us to lay the fourth arbitrator to rest.

  • Anti-arbitration injunctions and their compatibility with the New York
           convention and the Indian law of arbitration: future directions for Indian
           law and policy

      Abstract: AbstractDespite the controversial nature of anti-arbitration injunctions, they have emerged as one of the possible remedies in a number of jurisdictions. However, their existence under international law is far from clear. Consequently, each jurisdiction has its own rules regarding their existence and availability. In this connection, this article will address the question of whether anti-arbitration injunctions are legally compatible with the scheme of New York Convention and the UNCITRAL Model Law on International Commercial Arbitration. For this purpose, besides the legal analysis of the relevant provisions of the international instruments and the decisions of international arbitral bodies on them, the domestic legal practice of the UK, US, and France will also be considered. However, the main focus of the article will be to critically evaluate the Indian legal position on the issue. Finally, as a part of its Conclusion, it will outline the directions for the future of Indian law and policy relating to the grant of anti-arbitration injunctions in India.

This obligation, with regard to the mandatory rules of the forum, has been challenged on the basis of the assumption that, in international commercial arbitration, the arbitrators have no forum. The author contests this assumption as such and also in light of the United Nations Commission on International Trade Law (UNCITRAL) Model Law and the Rome I and Rome II Regulations applicable in Greece. Same obligation, with regard to the law of third states, has been challenged on the basis of the assumption that the will of the contracting parties, as to the law applicable to the merits of the case, shall prevail. The author challenges this assumption as well by arguing that the limits of the parties’ autonomy in light of said Regulations undoubtedly exist also in the context of international commercial arbitration. Other matters pertinent to said issues are also dealt with in the article.

      Abstract: AbstractInternational Commercial Arbitration (ICA) continues to be widely chosen as the preferred method of dispute resolution for parties, particularly where matters cross international boundaries. However, with the divergence of cases from open courts to predominantly closed arbitration hearings, questions of transparency have, and will continue to arise. This article is situated within the framework of transparency and asks whether confidentiality should still hold to be the norm in arbitration. Additionally, questions are asked around the development of law and operation of precedent in ICA. Indeed, what this article ultimately seeks to achieve is evaluating whether arbitration can serve as a mechanism for generating privately made law.

  • The use of trusts in investment arbitration

      Abstract: AbstractThis article is the first to address the use of trusts in investment arbitration, and particularly all those instances in which trust structures may have a direct bearing on investment treaty claims. As a matter of fact, the increasing use of trusts in transnational business has created a whole new set of considerations that call for the attention of users and practitioners alike. Owing to the intricacies of trusts, and in the light of a series of recent cases, this article sets out to explore such questions as standing to sue, authorization to bring claims on behalf of the trust or the assets held in trust, whether the trustee, the beneficiary or other trust parties should be considered covered investors, whether the trust itself may have standing, whether any resulting damages award should form part of the trust assets and be distributed in accordance with the trust deed, as well as other admissibility and quantum-related questions that may arise when dealing with trusts. All in all, this article maps the multitude of issues that trust structures raise in investment arbitration. And while it may be too early to draw any conclusive remarks based on the cases discussed in this article, it would appear that trusts test the somewhat laggard abilities of investment treaties to entertain the complexity of modern-day investment practices.

           PRC first-generation BITs'—China Heilongjiang et al v Mongolia

      Abstract: AbstractTo this day, arbitral tribunals constituted under international investment treaties (investment treaty tribunals) only dealt with a handful of investor–state arbitrations relating to Chinese investors abroad. In 2010, China Heilongjiang International Economic & Technical Cooperative Corporation, Beijing Shougang Mining Investment Company Ltd. and Qinhuangdaoshi Qinlong International Industrial Co. Ltd.—three companies incorporated in the People’s Republic of China (PRC) (the Claimants)—relied on the 1991 bilateral investment treaty (BIT) concluded between the PRC and Mongolia (the PRC–Mongolia BIT) to bring an expropriation claim against Mongolia for its cancellation of mining licenses held by the Claimants in the Tumurtei iron ore mine in the North of Mongolia. The UNCITRAL tribunal (the Tribunal) in China Heilongjiang et al v Mongolia (China Heilongjiang) rendered an award on 30 June 2017 (the Award) rejecting the Claimants’ claim for lack of jurisdiction ratione materiae under the narrow dispute settlement clause in the PRC–Mongolia BIT. The Tribunal decided diametrically opposed to two previous investment treaty tribunals that had to address the same interpretative question with regard to identically worded narrow dispute settlement clauses in two other ‘first-generation BITs’ of the PRC. The Tribunal also deviated from findings by national courts that were sitting in proceedings to set-aside an award rendered by one of these earlier tribunals. This case report deals with the current state of case-law relating to the application of narrow dispute settlement clauses in PRC first-generation BITs and addresses the question of whether the most recent decision in China Heilongjiang points to an end of interpretative debates that are existing in this respect.

  • Interim measures in support of arbitration in Ukraine: lessons from JKX
           Oil & Gas et al v Ukraine and the recent reform of Ukrainian
           legislation

      Abstract: AbstractOn 9 June 2015, the Kyiv Pechersk District Court in Ukraine enforced an award rendered by an emergency arbitrator under the Arbitration Institute of the Stockholm Chamber of Commerce (SCC) Arbitration Rules in the investment arbitration case JKX Oil & Gas et al v Ukraine. The judgment resulted from the first ever attempt to enforce an emergency arbitrator award in Ukraine. It was also reported as the first successful enforcement of an emergency arbitrator award against a state. The outcome is of particular importance in Ukraine, where courts were previously reluctant to order interim measures in support of arbitration. The enforcement proceedings for the JKX Oil & Gas et al v Ukraine emergency arbitrator award also demonstrate why a reform of Ukrainian arbitration-related law was necessary. On 15 December 2017, amendments to the Ukrainian Code of Civil Procedure entered into force regulating, inter alia, interim measures in support of arbitration. This article will analyse whether these changes may aid efficient enforcement of interim measures in Ukraine in the future and whether an emergency arbitrator award remains a viable option in arbitration proceedings related to Ukraine.
