  • Hostile takeover in Japan: institutional constraints and change

      Abstract: The Livedoor-Fuji TV takeover battle for Nippon Broadcasting Systems is considered one of the greatest uproars in the corporate takeover in the history of Japan. The epic battle is believed to have its lasting impact on the basic institutions that govern the country's takeover market. The paper aims to investigate the institutional changes, if any, Japan has experienced following the Livedoor episode. Analysing a handful number of takeover attempts before and after the battle, the paper finds that although some surface changes can be observed, a broad-based change is yet to be seen. This can be attributed to the informal institutions which have long been recognised as fundamental building blocks of the national model of corporate governance in Japan.

  • Are the Indian corporates creating value through acquisitions in the US
           and European markets?

      Abstract: This paper examines the stock market reactions to a sample of merger and acquisition (M&A) cases following the liberalisation of the policy regime by the Indian Government between 2000 and 2011. The stock market reacted differently to the announcements of overseas foreign direct investment related to M&As by Indian corporates. In some cases, the stock market reacted negatively in the short-term to the announcement but favourably in the post-acquisition period. In other cases, there was a favourable reaction or an unfavourable reaction in the short-term after the announcement and the longer term of the post-acquisition period. Drawing on secondary information, this paper offers explanations for the stock market reactions. Context is important and the specific characteristics of the Indian companies may have affected the outcomes. Though each case is unique, there are trends in approaches that are discernible. This paper also investigates the relationship between media coverage of company events such as announcements of mergers and acquisitions and the market reaction to such announcements. The results indicate that a variety of factors are responsible for overseas investment.

      Abstract: The paper compares the nature, extent and pattern of diversification of domestic companies with companies having multinational operations. A sample of 536 companies has been studied over three points of time, i.e. 2001, 2006 and 2011. Jacquemin-Berry entropy-index (1979) has been applied to measure diversification. Results suggest that domestic companies have larger extent of diversification as compared to companies with multi-national operations. Domestic as well as multi-national companies seem to prefer 'related diversification' to extreme choices of diversification. The pattern of diversification follows both forward and backward movement while companies with purely domestic operations have shown a greater trend towards forward pattern.

  • Public sector general insurance companies in India: potential gains
           from merger

      Abstract: The Indian general insurance industry underwent major structural changes in terms of competition, economies of scale and scope and pricing during the last 15 years as a result of the deregulation of the insurance market since 1999. The entry of the new general insurance companies resulted in a decline in the market share of the public sector general insurance companies to a level of 55%. Against this backdrop, the present study evaluates the potential gains from merger of public sector general insurance companies using data envelopment analysis for the years 2012-2013 and 2013-2014. The study computes overall efficiency gains and decomposes the same into learning, scale and scope effects. The results reveal that the overall potential gain from the merger is negative for both the years due to the presence of strongly negative scale effect.

  • Impact of foreign shareholdings on corporate governance score: evidence
           from Bombay Stock Exchange, India

      Abstract: The paper examines the effect of foreign shareholdings on corporate governance for a balanced panel of 201 publically traded firms from an emerging economy India, listed on the Bombay Stock Exchange (BSE) using the data for the end of financial years 2007-2008 and 2013-2014. We found that the non-controlling stake of foreign shareholdings affect corporate governance as against the controlling stake. It appears that when foreign shareholders buy large stakes, they favour weak governance because it allows them to exploit minority. Endogeneity is addressed by using the level of foreign shareholdings as an instrumental variable. The impact of market capitalisation, size and age on corporate governance score is significant for firms with non-controlling stake of foreign shareholders. The paper suggests that foreign investors can be instrumental in strengthening corporate governance framework of the firm's they have invested in by exerting the ownership rights which revolves around the type of investment and its time horizon.

  • Export performance of international new ventures in emerging market

      Abstract: Over the past decade, research on the area of international new ventures (INVs) was limited to mainly firms from developed and advanced economies. The primary purpose of this paper is to present and test a theoretical framework that describes international market orientation, business strategies and export performance among INVs in an important emerging market, Malaysia. Drawing from resource-based view, this study adds to the literature on INVs from emerging market by examining its theoretical framework with a total of 223 INVs based in Malaysia. Seven hypotheses were tested on investigating the mediating role of different types of business strategies, more specifically low cost and differentiation strategies in the relationship between international market orientation and export performance. Results indicated that international market orientation is associated with the development of business strategies that enhance export performance.

  • Volatility and calendar anomaly through GARCH model: evidence from the
           selected G20 stock exchanges

      Abstract: The recurring nature of the stock market suggested that past behaviour would tend to re-emerge in future. As to predict the future, it is fruitful to comprehend the patterns. Calendar anomalies are much reflected on these assumptions. Thus, we attempt to capture the day of the week pattern of market returns and volatility. The study considers 20 different economies from the G20 countries, spans over the period of five years (after recession) spread from January 2009 to December 2014. We find that some calendar anomalies are persistent in the stock return pattern for all the selected economies. The day of the week effect shows positive results majorly for emerging stock markets. As far as volatility is concerned, a few markets reveal that volatility is highly increased after a negative return. In the scenario, it is advised that investors may require being more cognisant about the negative news than the positive news in the market.

  • The challenges of competition and the creation of value for the Indonesian
           digital creative sector

      Abstract: Currently, the creative industry that grows rapidly are digital technology-based creative industry and digital creative industry (DCI). The growth of DCI's business profit in Indonesia has not been in line with expectations; due to business performance tends to be fluctuating. The decline of business performance is allegedly because the company has not been able to formulate and implement competitive strategies. Phenomenon indicator is that the value provided to customers is smaller when compared with the value given by its competitors (inferior customer value), thereby weakening the competitive position of the company. The power of competition in the industry is still low, it is shaped by the power of new entrances, the power of distributors and consumers, the power of substitute products, the power of supplier, the power of competitor and government intervention. This research aims to assess the effect created by digital creative industry competitive forces and value creation toward competitive strategy, simultaneously or partially and implications to DCI's sustainable business performance in Indonesia. This research is designed using mixed methods research (MMR) with sequential explanatory approach and suggests a model to achieve sustainable business performance in the digital creative industry.
