  • Closely held family business agency costs between owners

      Abstract: This paper investigates the relationship between corporate governance mechanisms and principal-principal (PP) agency conflict in Sri Lankan listed family firms. In many countries, the family business sector is seen as a means of rejuvenating the economy and developing sustainable growth. A dynamic modelling framework, which controls for potential endogeneity, is used to investigate 120 family firms and 90 non-family firms from 2006 to 2014. Similar to prior studies, this study reflects deeply on the idea of PP agency conflict between majority and minority shareholders for family firms in emerging economies. This study employed four board characteristics and found large boards with non-executive directors and family leadership increase PP conflict in Sri Lankan listed family firms. Overall results indicate that traditional corporate governance mechanisms cannot mitigate PP agency conflict in family firms in emerging markets. There is strong evidence supporting a need for promulgating and streamlining of corporate laws, in emerging markets, to reduce the possibility of expropriation of minority shareholders by owners of politically powered family firms.

  • Corporate governance performance of publicly listed companies in India: a
           cross-sectional industry analysis of BSE 200

      Abstract: This study investigates the corporate governance practices of listed firms in India. The specific objectives of this study are to (i) develop an index for corporate governance performance (CGP); (ii) assess the CGP of the listed firms included in BSE 200 index and (iii) compare the CGP of the firms at industry level. The investigation of governance performance of firms suggests that wide variability exists in the governance performance of firms. Overall, the study supports the proposition to put in place the mechanism to monitor and address the level of compliance by the firms, specifically, non-compliance in certain aspects of governance.

The recent global financial crisis was primarily attributed to excessive risk taking, which raises pertinent questions on the effectiveness of firm-level risk management practices. As per the alignment theory, family firms with higher concentration of ownership would be able to mitigate excessive market risks during economic drifts and cycles. The impact of family/outside ownership on the risk-taking behaviour of firms has been examined using market-based risk measures. Utilising a sample of 404 firms with yearly data for 9 years from 2004 to 2013, 3,636 firm-year observations have been analysed using the panel data model. The results of this analysis confirm that family-controlled firms are associated with higher risks, especially with greater idiosyncratic risk. This finding holds true even after the data are segregated into pre-crisis and crisis-affected periods. An instrumental variable approach was adopted to control for endogeneity, which also supports and substantiates the results.

  • Culture inclusive Shariah corporate governance as a risk mitigation tool
           in Islamic banks

      Abstract: Best practice of corporate governance is crucial to ensure that the depositors suffer no loss due to negligence or unethical handling of funds. Islamic corporate governance seeks to ensure a fair return on the investment, affirming incentives and procedures that meet the interests of shareholders, while respecting other stakeholders. Understanding cultural norms seems to be crucial in having sound corporate governance. The aims of this research are to analyse the concepts, theories and principles of corporate governance, to seek to link the cultural influence in the adoption of corporate governance and to propose corporate governance principles that could adopt cultural values. In order to analyse the available theories, policies and standard, a comprehensive analysis of a literature review was undertaken. For this purpose, the researcher used content analysis. The finding shows that differences in culture result in different approaches to ownership structure, corporate boards, hostile takeovers and protection of minority shareholders. In addition, three cultural dimensions of collectivism, high power distance and high on uncertainty avoidance are shown to be present in countries where Islamic financial institutions operate, and that could result in weak corporate governance practices.

  • Executive compensation, corporate governance and firm performance:
           evidence from India

      Abstract: Compensation received by the company directors attracted widespread attention in the recent literature. The existing research focused mainly on the executive compensation, and largely ignored non-executive compensation. Our study focused on the effect of corporate governance and performance variables on the executive as well as non-executive compensation structures in the Indian context. We obtained supporting evidence for managerial power theory as well as tournament theory in this paper. However, we could not find conclusive evidence for the agency theory with regard to executive compensation. Our research shows that as the board size enlarges, executive compensation rises further. However, we found that the proportion of non-executive directors (NEDs) on the board enhances executive compensation. We observed that if the chief executive officer plays dual role (CEO cum chairman) in a firm, NEDs receive lower remuneration. Our results reveal that the corporate governance variables namely board size, CEO duality and proportion of NEDs on the board have significant impact on the non-executive compensation. We affirm that our findings will be useful for the investors as well as institutions viz., the stock exchanges, academic institutions and the regulators as it integrates the relationship among the components of executive compensation, corporate governance and firm performance.
